The certificate from your home state is the pacing item

You must attach a certificate of existence, also called a certificate of good standing, from your home state. Washington requires that it was issued no more than 60 days before the date you submit the registration.

Order it early. Your home state issues its own certificate at its own speed and its own fee, and an old one is refused here. The Secretary of State returns the whole Foreign Registration Statement for correction if the certificate is late-dated, so a document you already had on file may not survive the wait.

Your LLC name, checked against Washington records

Enter the name exactly as it appears on the home-state certificate, then let the filing system look it up in Washington's records. The name must also carry an LLC designation: Limited Liability Company, Limited Liability Co., L.L.C., or LLC, per RCW 23.95.305.

The registered agent who must consent

Every foreign LLC registering in Washington designates a registered agent, as RCW 23.95.415 requires. The agent needs a physical Washington street address, no post office box, and the filing collects an email address for the agent.

The online filing, screen by screen

File through the Corporations and Charities Filing System. Log in, choose to register a business from a different state, and select Foreign Limited Liability Company as the type, matching how it is registered in your home jurisdiction.

What the registration does not do for you

A registered foreign LLC is authorized to do business in Washington. That authorization reaches the corporate side only. It does not register you with the tax agencies, it does not buy a city business license, and it does not touch any trade license your work requires.

A Washington-registered LLC from another state still registers with the Department of Revenue for the business license and its endorsements, and the city you operate in can layer its own. The annual report calendar starts immediately

Your first annual report window is not far off. The report is due by the last day of the month in which the business originally registered, every year, and you can file it up to 180 days early.

The fee is $70, or $95 with the delinquency charge if the date passes. Miss it and the LLC goes delinquent, and delinquency can end in administrative dissolution of the registration.
